Wholesale Buyer Terms and Conditions

Welcome to BASGAX. These Terms and Conditions govern the relationship between us and our wholesale buyers. By placing an order with us, you agree to the following terms:

1. Eligibility

Our wholesale services are available exclusively to authorized buyers or retailers with a valid business license or tax identification number.

By purchasing from us, you confirm that you are buying for resale purposes only and not for personal use.

2. Order Placement and Acceptance

Orders can be placed via email, or by contacting your assigned sales representative.

All orders are subject to availability and approval. GLLOBAL DIAZ LLC reserves the right to reject any order at its sole discretion.

3. Minimum Order Requirements

Wholesale purchases must meet our minimum order value or quantity threshold, as outlined on our price list or provided in your buyer agreement.

Orders not meeting the minimum requirements may incur additional fees or be canceled.

4. Pricing

Prices for wholesale products are provided in the most recent price list and are subject to change without prior notice.

Pricing is exclusive of taxes, shipping, and other applicable fees unless explicitly stated otherwise.

5. Payment Terms

Payment must be made in accordance with the payment terms outlined at the time of order confirmation. Accepted payment methods include credit card, bank transfer, wire transfer.

Late payments may incur additional fees or interest, as outlined in your buyer agreement.

6. Shipping and Delivery

Shipping costs and arrangements will be detailed at the time of order confirmation. Wholesale buyers are responsible for all shipping fees unless otherwise agreed upon.

Delivery times are estimates and not guaranteed. Global Diaz is not responsible for delays caused by carriers or customs.

7. Returns and Exchanges

Returns or exchanges of wholesale goods are subject to approval and must meet our return policy criteria. Unauthorized returns will not be accepted.

Products damaged during transit must be reported within three days of receipt, accompanied by photographic evidence and detailed information.

8. Intellectual Property

The use of BASGAX trademarks, logos, or promotional materials must be pre-approved in writing.

Wholesale buyers are prohibited from misrepresenting the brand or using branding in a manner inconsistent with our guidelines.

9. Confidentiality

Pricing, product details, and any other proprietary information provided to you as a wholesale buyer must remain confidential and not be disclosed to third parties.

10. Termination

BASGAX - GLOBAL DIAZ LLC reserves the right to terminate or suspend a wholesale account at any time due to breach of these terms or other justified reasons.

Upon termination, outstanding balances must be settled immediately, and any pending orders may be canceled.

11. Limitation of Liability

BASGAX - GLOBAL DIAZ LLC will not be held liable for indirect, incidental, or consequential damages resulting from the use or inability to use our products or services.

Our maximum liability is limited to the value of the goods purchased.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the United States, and any disputes will be resolved under the jurisdiction of Florida.

13. Amendments

GLOBAL DIAZ LLC reserves the right to update or modify these Terms and Conditions at any time. Changes will be communicated via email or our website. Continued purchases signify acceptance of the updated terms.
